Prague apartment building offers: price, funding and certainty

Historic façade of an apartment building

You have three offers on the table, and the highest is eight million above the others. Is it the best? Not necessarily. An offer is a promise, and a promise is only worth something if it is kept. That is why we compare offers based on the likelihood of completion at the agreed price.

The five criteria we use to compare offers

  • Price and what could reduce it: is the price fixed, or subject to due diligence? What reservations has the investor already raised?
  • Funding: equity or debt? Does the investor have an indication of support from a bank? Will they provide proof of funds?
  • Conditions: scope of due diligence, conditions precedent and required warranties.
  • Timetable: when will contracts be signed, payment made and the property handed over, and what happens if there is a delay?
  • Credibility: the investor’s track record, completed transactions and references.

The risk of a last-minute price reduction

The most common tactic is a high offer followed by exclusivity for due diligence, then, several weeks later, “newly discovered defects” and a demand for a price reduction. By that point, the seller is tired, other investors have walked away and a reduction seems the lesser evil.

The safeguards: a short exclusivity period, a clearly defined scope of due diligence, documentation prepared in advance so there is nothing to “discover”, and other investors kept in the process as a fallback.

How to compare offers on a like-for-like basis

We assess every offer in terms of the net amount you will receive and the likelihood of completion. An offer of CZK 120 million with funding “under discussion” and two months of exclusivity may have a lower expected value than a firm offer of CZK 114 million funded from the investor’s own resources, with signing within three weeks.

What to request from the investor in writing

  • the offer price and transaction structure (asset / share deal),
  • proof or confirmation of funding sources,
  • a list of conditions and the scope of due diligence,
  • a timetable with specific dates,
  • the amount and terms of any deposit or reservation payment.

Frequently asked questions

Should I request a deposit?

For serious offers, it is sensible to request a reservation deposit or a contractual penalty that gives the investor an incentive to complete the transaction.

What is a reasonable exclusivity period?

Usually 3–6 weeks, depending on the scope of due diligence and how ready the documentation is.
